Terms of Use — JAYISAAC AI

01The agreement

These Terms of Use ("Terms") are a binding agreement between you and JAYISAAC AI ("we", "us") governing your use of the platform at jayisaacai.com, including the prospecting application, data exports, and related services (together, the "Service"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a company, you confirm you have authority to bind that company, and "you" means that company.

02Accounts

You must be at least 18 and provide accurate account information.
You are responsible for activity under your account and for keeping your credentials secure.
One account is for one user. Sharing logins across a team requires a plan that permits multiple seats.
Tell us promptly at admin@jayisaacai.com if you suspect unauthorized access.

03Plans, credits, and billing

Credits. Access to certain data (such as revealing contact details) consumes credits. Credits are allocated by your plan, may be supplemented by free-trial grants, and have no cash value.
Free trial. Trial credits are a one-time grant per person/company. Creating multiple accounts to farm trial credits is prohibited.
Subscriptions. Paid plans bill in advance on a recurring basis through our payment processor and renew automatically until cancelled.
Credit expiry. Unless your plan says otherwise, unused monthly credits do not roll over.
Price changes. We may change pricing with notice; changes apply from your next billing cycle.
Taxes. Prices exclude applicable taxes (GST/HST/PST or local equivalents), which are added where required.

04Acceptable use

The Service exists for legitimate business-to-business prospecting. You agree NOT to:

Send spam or any communications that violate anti-spam laws, including Canada's CASL, the U.S. CAN-SPAM Act and TCPA, or equivalent laws in your jurisdiction;
Use the data for harassment, stalking, discrimination, or any unlawful purpose;
Scrape, crawl, bulk-download, or systematically extract the database beyond your plan's export limits;
Resell, redistribute, sublicense, or publish our data, or use it to build or train a competing database or product;
Circumvent credit metering, rate limits, or access controls, or probe the Service for vulnerabilities without permission;
Share, sell, or transfer your account access to third parties.

Plain English: use the data to do honest outreach to businesses. You — not us — are responsible for making sure your calls, emails, and texts comply with the laws that apply to you.

05Use of contact data

We grant you a limited, non-exclusive, non-transferable license to use data accessed through the Service for your internal sales and marketing purposes while your account is in good standing.
Exported records remain subject to these Terms — exporting a CSV does not convert our data into your property.
Data is provided on an "as-available" basis. Business information changes constantly; we do not guarantee any individual record is accurate, current, or deliverable. See our verification process for how records are validated.
If a person opts out of our database, you must stop using their record once we notify you or it is removed from the Service.

06Cancellation and refunds

You may cancel your subscription at any time; access continues until the end of the paid period.
Fees already paid are non-refundable, and consumed credits cannot be refunded, except where required by law or where we determine a refund is warranted (for example, a verified billing error or material service failure).
If you believe you were billed in error, contact us within 30 days of the charge and we'll review it in good faith.

07Intellectual property

The Service — including the software, design, database structure, and JAYISAAC AI brand — is owned by us or our licensors. These Terms grant you a right to use the Service, not ownership of any part of it. Feedback you send us may be used to improve the Service without obligation to you.

08Disclaimers and limitation of liability

THE SERVICE AND ALL DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA; AND (b) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

You will indemnify us against claims arising from your use of the data in violation of these Terms or applicable law, including anti-spam and telemarketing laws.

09Suspension and termination

We may suspend or terminate accounts that violate these Terms — including acceptable-use violations, credit-farming, payment failure, or activity that threatens the Service or other users. Where reasonable, we'll warn you first. Sections 5, 7, 8, and 10 survive termination.

10General terms

Governing law. These Terms are governed by the laws of the Province of Saskatchewan and the federal laws of Canada applicable therein. Courts located in Saskatchewan have exclusive jurisdiction, and you consent to venue there.
Changes. We may update these Terms; material changes will be reflected in the "Last updated" date and, for significant changes, notified by email or in-app. Continued use after changes means acceptance.
Entire agreement. These Terms plus the Privacy Policy are the entire agreement between us regarding the Service.
Severability & waiver. If a provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver.
